These Terms of Use (“Terms”) form a legally binding agreement between you (“you,” “your,” or“user”) and Tutor Amplify (“Tutor Amplify,” “we,” “us,” or “our”) governing your access to and use of the website located at www.tutoramplify.com along with all its subdomains (collectively, the “Site”) and any related services or content (collectively, the “Services”).

By accessing or using the Site, you acknowledge that you have read, understood, and agreed to be bound by these Terms. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SITE.

We may update these Terms at any time. Any changes will be effective immediately upon posting the updated version on this page. You are responsible for reviewing the Terms regularly.

1. DEFINITIONS

“Content” means all text, graphics, images, videos, audio, software, documents, and other

materials provided through the Services.

“Contributions” means any content submitted by users, including testimonials, feedback, or other user-generated material.

“Services” refers to the Site, free educational resources (e.g., PDF downloads), digital offerings, email communications, and other services provided by Tutor Amplify.

“Site” means www.tutoramplify.com and all its subdomains, pages, resources, and media hosted on it.

“User” means any individual or entity accessing or using the Site or Services.

“Programs” refers to any paid or unpaid tutoring-related training, guides, or coaching offered by Tutor Amplify.

“Digital Products” refers to any downloadable or access-based online content such as templates, videos, PDFs, or guides.

2. ELIGIBILITY

You must be at least 18 years old or the age of majority in your jurisdiction to use this Site. By using the Site, you represent that you meet this requirement.

If you are under 18 years old, your parent or legal guardian must read, understand, and agree to these Terms on your behalf prior to your use of the Website.

3. USE OF THIS SITE

3.1 THE CONTENT ON THIS SITE IS PROVIDED FOR GENERAL INFORMATIONAL PURPOSES ONLY. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY INFORMATION PROVIDED. ANY RELIANCE YOU PLACE ON SUCH INFORMATION IS STRICTLY AT YOUR OWN RISK. YOU ASSUME FULL RESPONSIBILITY AND RISK FOR YOUR USE OF THE SITE, SERVICES, OR ANY RELIANCE ON THE INFORMATION PROVIDED.

3.2 This Site and its contents are designed to support tutoring professionals by offering general educational guidance and resources on tutoring and tutoring business development. Users may receive free resources, occasional emails with tips and updates, and promotional messages related to available programs and offerings.

You agree not to:

● Violate any applicable local, national, or international law or regulation;

● Infringe on our or any third party’s intellectual property or proprietary rights;

● Attempt unauthorized access to any part of the Site or our systems;

● Interfere with or disrupt the Site or related services;

● Reproduce, republish, license, distribute, or commercially exploit any Content without prior written consent;

● Use the Content to develop a competing business or service; or

● Engage in conduct that harms or threatens to harm the reputation, operations, or goodwill of Tutor Amplify, including but not limited to spamming, defamation, harassment, or abusive language directed at Tutor Amplify or its users.

4. INTELLECTUAL PROPERTY

All Content is owned by Tutor Amplify or its licensors and protected by applicable copyright, trademark, and other intellectual property laws. You may use the Content for personal, non-commercial purposes only. Any other use without prior written permission is strictly prohibited.

You agree not to copy, scrape, download, reverse engineer, disassemble, decompile, or attempt to obtain the source code of any portion of the Site or Services. You may not use any automated tools—including bots, scripts, spiders, or crawlers—to access or interact with the Site without express written permission.

5. USER-GENERATED CONTENT, TESTIMONIALS, AND REVIEWS

By submitting or posting any content to the Site — including but not limited to testimonials, reviews, feedback, photos, ideas, suggestions, or other materials (collectively, “Contributions”)—you grant Tutor Amplify a perpetual, worldwide, non-exclusive, royalty-free, and transferable license to use, reproduce, adapt, publish, distribute, display, and create derivative works from your Contributions in any format or media, including for marketing and commercial purposes.

You acknowledge and agree that:

● Your Contributions may be publicly visible and are considered non-confidential and non-proprietary.

● Tutor Amplify may edit your Contributions for length, grammar, clarity, or style prior to publication. Edits will not change the overall meaning or intent of the Contribution.

● Tutor Amplify is not obligated to publish, use, or retain any Contributions submitted by you.

By submitting Contributions, you represent and warrant that:

● Your Contributions are accurate, lawful, and do not infringe upon the rights of any third party.

● You have full rights and permissions to submit the content.

● Your Contributions do not contain confidential, sensitive, or proprietary information.

You understand that:

● Users are solely responsible for their own Contributions.

● Tutor Amplify is not liable for the accuracy, reliability, or legality of any user-submitted content.

● We reserve the right to moderate, modify, or remove Contributions at our sole discretion.

The license granted to Tutor Amplify is perpetual and survives the termination of these Terms or your use of the Site. However, if you wish to revoke our permission to use a specific Contribution (e.g., a testimonial or review), you may contact us at help@tutoramplify.com with your request. Tutor Amplify reserves the right to decline removal in cases where the Contribution is already in use in published materials or where there is a legal or business reason to retain it, including but not limited to published marketing materials, analytics archives, or legal obligations, but we will make reasonable efforts to accommodate such requests where feasible. TESTIMONIALS AND SUCCESS STORIES FEATURED ON THIS SITE REFLECT INDIVIDUAL EXPERIENCES AND RESULTS. THEY ARE NOT GUARANTEES AND MAY NOT REPRESENT TYPICAL OUTCOMES.

6. DISCLAIMER — INDIVIDUAL RESULTS MAY VARY

Every tutoring business is different, and individual results may vary. Your results depend on many factors, including but not limited to your niche, teaching method, pricing strategy, consistency, marketing efforts, and local or global market conditions.

Tutor Amplify does not promise or guarantee any specific outcome, business success, revenue level, or return on investment. We do not offer or claim to offer a business opportunity, guaranteed system, or franchise model. The tools and strategies provided are intended for general educational purposes only and may not suit every situation.

We do not provide tax, financial, legal, or accounting advice. You are solely responsible for consulting professionals regarding your specific business circumstances.

7. YOUR RESPONSIBILITIES

You are responsible for complying with all laws and regulations applicable to your tutoring business, including:

● Marketing and advertising standards;

● Tax collection and reporting;

● Business licenses or permits;

● Subscription services and refund policies.

Tutor Amplify is not responsible for your legal compliance and assumes no liability for actions taken or not taken in the course of your business.

8. PRIVACY AND DATA PROTECTION

Use of the Site is governed by our Privacy Policy, which is incorporated by reference.

By using the Site, you consent to the collection and processing of your data in accordance with

applicable privacy laws, including but not limited to:

The General Data Protection Regulation (GDPR), if you are located in the EU or UK;

The California Consumer Privacy Act (CCPA), if you are a resident of California.

We rely on the following lawful bases under GDPR to process your personal data:

● Your consent (e.g., for receiving marketing emails);

● Legitimate interests (e.g., improving our services and analytics, direct marketing);

● Contractual necessity (e.g., providing digital goods you purchase).

You may withdraw your consent at any time if consent is the legal basis for processing your data, by contacting us at help@tutoramplify.com.

9. NOTICE AND TAKEDOWN PROCEDURES; COPYRIGHT

If you believe that any content available on the Tutor Amplify website infringes your copyright, you or your authorized agent may submit a written notification requesting the removal of the material in accordance with applicable copyright laws. Your notice should include:

● A physical or electronic signature of the copyright owner or someone authorized to act on their behalf;

● A description of the copyrighted work you claim has been infringed;

● A description of where the allegedly infringing content is located on the Site (please provide a URL or specific location if possible);

● Your contact information, including your name, address, telephone number, and email address;

● A statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and

● A statement that the information in your notice is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

If you believe that content was removed in error due to a mistake or misidentification, you may submit a counter-notice with similar identifying information. We will respond in accordance with applicable laws. Please send notices and counter-notices to: help@tutoramplify.com

10. PAYMENT AND BILLING

If you purchase paid services:

● You agree to provide accurate and current billing information;

● You authorize us (or our payment processor) to charge your chosen payment method;

Unless otherwise stated, digital products and services are non-refundable due to their immediate access nature.

11. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Tutor Amplify shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

● Your use of or inability to use the Site or Services;

● Any unauthorized access to or use of our servers and/or any personal information stored therein;

● Any interruption or cessation of transmission to or from the Site.

Tutor Amplify shall have no liability for any claims or damages arising from third-party content, services, or unauthorized use of the Site by users or third parties.

Any claim or cause of action arising from or related to the use of the Site or Services must be filed within one (1) year after such claim or cause of action arose. Otherwise, such claim is permanently barred.

If we are found liable for any claim arising from your use of the Site or Services, our total liability to you shall not exceed the greater of:

(a) the amount you paid us (if any) in the six months prior to the claim; or

(b) $100 CAD.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Tutor Amplify, its officers, directors, employees, contractors, agents, licensors, affiliates, subsidiaries, successors, and assigns from and against any and all losses, liabilities, claims, demands, damages, expenses, or costs (including attorneys’ fees) made by any third party due to or arising out of or in connection with:

(i) your use, misuse, or attempted use of the Site, Services, Programs, or Digital Products;

(ii) any content or information you submit, post, or transmit through the Site;(iii) your violation of these Terms or any applicable law; or

(iv) your infringement or violation of any rights of another party, including intellectual property or privacy rights.

13. THIRD-PARTY SERVICES DISCLAIMER

We may use third-party platforms or tools (such as MailerLite, Stripe, or others) to deliver our Services. Tutor Amplify is not responsible for the availability, security, functionality, or privacy practices of any third-party platforms. Your use of such platforms is subject to their respective terms and policies. These limitations apply even if we were advised of the possibility of such damages.

14. NO WARRANTIES

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ALL SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY INFORMATION PROVIDED IS ACCURATE, COMPLETE, OR UP-TO-DATE.

15. TERMINATION

We may suspend or terminate your access to the Site at our discretion, without notice, for any reason including violation of these Terms. Upon termination, your right to access or use the Site and Services will immediately cease. Tutor Amplify is not obligated to provide any refund or compensation unless otherwise stated in a separate agreement.

16. ACCESSIBILITY

We aim to ensure the Site is accessible to users with disabilities, but we do not guarantee full compatibility with all assistive technologies. If you require assistance, contact help@tutoramplify.com.

17. DISPUTE RESOLUTION BY BINDING ARBITRATION AND CLASS

ACTION WAIVER

17.1 Informal Resolution First

In the event of any dispute, claim, or controversy arising out of or relating to these Terms, the Site, the Services, or your relationship with Tutor Amplify, you agree to first contact us at help@tutoramplify.com to attempt to resolve the dispute in good faith. If the matter is not resolved within one hundred and twenty (120) days of initial contact, either party may initiate arbitration as described below.

17.2 Binding Arbitration

Except where prohibited by law, you agree that any dispute, claim, or controversy that cannot be resolved through informal negotiation shall be finally resolved through binding, confidential arbitration administered by the ADR Institute of Canada or another mutually agreed-upon arbitration body. The arbitration shall be conducted in English by a single neutral arbitrator in Alberta, Canada, unless both parties agree to conduct the arbitration via written submissions or teleconference. The arbitrator shall have the exclusive authority to resolve any disputes relating to the interpretation, enforceability, or scope of this arbitration clause, including whether a claim is subject to arbitration.

17.3 Class Action Waiver

To the fullest extent permitted by law, you agree that any arbitration or legal proceeding shall be conducted only on an individual basis and not in a class, collective, consolidated, or representative action. You expressly waive any right to bring or participate in any class action or seek relief on a class basis.

17.4 Time Limit for Claims

Any claim or cause of action must be filed within one (1) year of the date the claim arose, including the 120-day informal resolution period described above. If not filed within that time, the claim is permanently barred.

17.5 Fees and Costs

Each party shall bear its own legal fees and costs associated with arbitration, unless otherwise determined by the arbitrator in accordance with the rules of the arbitration body.

17.6 Equitable Relief

Notwithstanding the foregoing, Tutor Amplify reserves the right to seek injunctive or equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of its intellectual property rights, confidential information, or other proprietary rights.

17.7 Severability

Some users may have statutory rights under applicable law which override this clause. Nothing in these Terms shall limit such rights. If any portion of this Section 17 is found to be unenforceable — other than the class action waiver in Section 17.3 — then the remaining portions shall remain in full force and effect. If the class action waiver in Section 17.3 is found to be unenforceable, this entire arbitration clause shall be null and void.

18. DATA BREACH

In the event of a data breach involving personal information, Tutor Amplify will notify affected users as required under applicable data protection laws, including GDPR and CCPA.

19. GOVERNING LAW

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada. Where required, rights under U.S. law (including California consumer law) and EU privacy law (GDPR) will be respected.

20. FORCE MAJEURE

We are not liable for delays or failures due to causes beyond our control, including but not limited to:

● Natural disasters

● Internet or utility outages

● Technical issues

● Epidemics or pandemics

● Acts of government or regulation changes

● Strikes, riots, or civil unrest

● Acts of third-party service providers, including failures of third-party service providers or hosting platforms used to deliver the Services.

21. SEVERABILITY

If any part of these Terms is found to be unenforceable, it will not affect the validity and enforceability of the remaining provisions.

22. WAIVER

A failure to enforce any provision of these Terms shall not constitute a waiver of such provision or any other rights.

23. ENTIRE AGREEMENT

These Terms and the Privacy Policy represent the entire agreement between you and Tutor Amplify.
